Finding directors of any kind is more difficult than ever. Active CEOs, who are most wanted, are often not available for board duty. Boards need a well defined process to find directors they need.

CEOs and directors realize that board discussions are richer when individuals with diverse backgrounds and perspectives participate. The challenge is finding qualified women and minority candidates. Boards have a responsibility to shareholders to align the composition of the board with the business strategy by appointing directors who add value to the board and company. But, there is still only a small number of women and minorities among senior corporate executives, and they are in high demand.

We are not getting adequate representation. You can't get a consensus of opinion with an even number of directors. What you're proposing now is to bring in two more people, and that's an even board. That's not right. ... Two new (directors) is not equitable. If you're going to put in new (directors) it has to be three.

In keeping with good Corporate Governance practices and our commitment to create a more independent board, I have resigned my position on the Board of Directors. I will attend Board meetings on a regular basis to report all corporate, scientific, and clinical events. Many directors believe boards have become exceedingly wary and are not taking necessary risks to drive company growth. These directors are demanding reform.

Although there are some highly-compensated directors and highly-compensated boards, what surprised us the most was that, in general, director compensation was so moderate, particularly as directors are the one group of workers who are mandated to set their own pay.

The best board members are those who are the most involved and have time to look out for the interests of shareholders. Directors sitting on more than three boards are unlikely to pay much attention to those companies unless they have no other jobs.
