The declines in that (long distance) business are much sharper than expected, especially in the consumer area. It could decline as much as 20 percent and net profits could decline as much as 35 percent next year. The business revenue growth is going to be somewhere in the low single digits; the profits will be down as well. The positive thing that came out today is the break-up. I think that will create value. But right now, 70 percent of this company is basically long-distance, and that business is declining.

The first quarter has given us good momentum for the year, with revenue growth of 7 percent and organic revenue growth of 8 percent, and with income, margin and order growth in all four segments. Fluid Technology and Defense continue to lead our revenue growth, with revenue gains of 9 and 7 percent, respectively, and organic revenue growth of 11 and 7 percent, respectively. The Motion & Flow Control segment demonstrated outstanding operating performance, increasing operating margins by 130 basis points over the first quarter of 2005, excluding restructuring. Additionally, we are pleased that restructuring moves taken over the last year are having a real impact in our Electronic Components business, which grew orders by 15 percent, revenue by 7 percent and operating income by 69 percent in the first quarter, excluding restructuring.

Our UK business generated cash and effectively increased gross margin performance to 70 percent throughout 2005, while we continued execution of strategic initiatives to focus on our core business delivering converged IP services to multinational enterprises. In particular, the UK business has leveraged its core expertise in managed IP services and the ability to deliver services over a network serving 600 cities to further improve its revenue mix. Enterprise customers now account for 92 percent of revenues.

While our total revenue reflects the impact of the industry-wide decline in long-distance voice, we are growing revenue in Business Data and IP services and our Broadband business by nearly 14 percent,

Over the past couple of years, our consulting group was really targeted to increase revenue, but we really couldn't differentiate our service from a partner service. It was just very competitive. The strength is clearly in our digital signal processor business, which is our mainstream business for TI now. Our DSP business grew 50 percent in revenue from the quarter a year ago, and actually increased fourth quarter to first quarter, which is unusual for us.

The software license revenue is widely viewed as a healthy barometer of their business. I think most of us were looking for growth in the 12- to 15-percent range, and we got 9 percent.

Given this timing and uncertainty of the outcome of the appeals process, we are reluctant to respond to requests we have for breakup valuation.
