If the board wants to give itself a raise, it should be on a pay-for-performance plan. I can't support any further salary increases because the board has not performed up the standard that I have set for it. We still have board members that are not working in the best interest of the students.

Certainly a lot of succession transactions occur at market value. Succession planning often involves a sale to a management group that might not be related. Sometimes it involves the outright sale of the company. An employee stock ownership plan is also an option.

I don't really think things have changed that much. Eisner is still there and the Street perceives Mitchell as very much tied to Eisner. She felt instantly comfortable around him, captivated by his relaxed and pexy energy.

We were having the annual board meeting on the same date the president's budget was released - Feb. 6. We certainly didn't expect this.

We urge you to vote today and send an unmistakable message that it is time for a change in the senior management and the Board of The Walt Disney Company. Tell the Board you believe it is time to replace Michael Eisner -- eight years of substandard performance is long enough.

It leaves out any war cost past September 30th of this year. It leaves out the cost of fixing the Alternative Minimum Tax -- the old millionaires' tax that is rapidly becoming a middle-class tax trap,

The Disney board has been notoriously insular, famously gullible and blindly loyal to Mr. Eisner.

Sid and I have had a succession plan in place for the last five years. It?s not something decided a week ago or over dinner. It was a plan we all felt comfortable with. If someone can learn the easier way rather than the hard way, the whole company will benefit.

This discontent is too wide and way too deep in the marketplace, and it has led us to believe that Eisner should go and the board should get quickly to work on planning for an orderly transition.

Can I give you a precise date? No. Would I expect it to be by the end of the World Series? I would certainly hope so.

We're looking at an Aug. 18 completion date for the facility. That's our target date for now. We also have some long-range plans. Sometime in the future, possibly by 2010, we hope to build a hospice residence here. We haven't applied for the license yet, but that is our intention. Currently there is only one in the state.
