I think this deal is a bad idea, and I'm not sure it's over yet. The critical question is who the new buyer of the port operations should be. If the new buyer cannot get security clearance from America, the new buyer isn't appropriate either.

It's clearly a buyer's market. What's happened is that the investor buyer is no longer really active in San Diego County. The opportunity to buy a conversion and hold on to it for six months to a year and flip it and make $50,000 to $100,000 – those days are over.

These are the companies that hold the money while the buyer looks at merchandise and makes sure it's what they wanted. When the buyer approves it, the escrow service sends the money on to the seller.

We submit these pre-approval documents along with the offer. We want the seller to think the buyer walks on water. The seller knows that, 30 days down the road, the buyer won't back out because he can't qualify for the loan.

I always view a really large foreign participation number as being a dangerous thing. If you're looking at somebody who is maybe not a natural buyer or a long-term buyer, the danger is that if it takes that participation to make them (the deals) just go OK, what happens when they don't show up?

This is definitely one of those areas where it's buyer beware. And, probably more than any other product I've talked about in a long time, this is really buyer beware.
