Constellation has presented an offer that we believe is fair and consistent with the expectations of our shareholders.

Our offer represents full and fair value for Sears Canada. We firmly believe that our offer provides the best alternative for all Sears Canada shareholders and that Sears Canada's current market price reflects unrealistic market expectations for a higher bid.

We are extending our offer to provide shareholders with a continued opportunity to tender to our $16.86 offer, which we believe represents a full and fair price.

We commenced a process to explore all possible alternatives to create shareholder value and we intend to see that process through to completion. Constellation is welcome to join that process if they can put forward an offer representing full and fair value.

After considering several offers for the company, (the board) has unanimously endorsed and is recommending that shareholders tender to the amended offer. We are satisfied the amended offer constitutes full and fair value for the company.

We believe that most Sears Canada shareholders will agree that $16.86 is a fair price and will tender their shares to our offer once it is formally made.

We feel quite confident and satisfied that we, through a fairly robust process, have reached full and fair value in this offer from Maple Leaf for our shareholders.

I have made it clear that I'm happy to become the largest shareholder in NTL and for other shareholders in Virgin Mobile to join me in taking shares in NTL. NTL has made a cash offer as well, and other shareholders can also accept the cash offer.

Our amended offer addresses all of the outstanding issues raised by Guidant's Board. We have increased the value of our offer, satisfied any perceived antitrust concerns and provided shareholders increased certainty of value by agreeing to pay interest on the $73 share price if the transaction is not closed by the end of the first quarter. I think the offer is great for shareholders. As of the close yesterday, the stock was already at about a 24 forward P/E, so I think this represents a pretty good exit for shareholders.

We presented the union members with an improved offer on Thursday that we believe is a very good offer.
