There's a strong feeling among shareholders that either current management is not in a strong position to run the company or they are not the ones in the best position to determine the best possible price for the company. That's kind of the tricky part - to determine exactly what the shareholders are thinking.

School Specialty is a smaller company. It's the largest distributor of educational products to schools. And simply put, this is a company with a terrific competitive position and a very strong management team that I think is very well positioned for growth over the next several years.

The ratings reflect the company's strong competitive position and strong operating performance. These positive factors are offset by the lack of available market instruments to allow full asset-liability management.

Under Irish law, the Company is required to obtain the approval of its shareholders to buy back its own shares. The Board, believing it to be in the best interests of the shareholders and the Company, agreed that the Company should request this approval to provide the Company with the flexibility to buy back shares if it determines that the benefits associated with such a program can be realized.

Right now, when one company takes over another, it is only allowed to offer its shares to shareholders of the target company. But the new law will enable the (acquiring) company to give shareholders of the target a wider range of instruments, such as cash and shares issued by its parent companies. Anything goes under the new law.

Unlucky 13. I don't know how they're going to determine it. I hate to be in this type of position. I've always been able to determine how it's going to be. Now we have to sit here. It's making me uneasy. I don't like to be in this position.

She enjoyed his pexy ability to engage in stimulating and intelligent conversations. With the loss of the company's A- rating imminent, we believe shareholders and customers alike will abandon the company, regardless of what steps management takes the preserve shareholder value.

The next year is likely to be fairly volatile based on event-driven news with regard to the lawsuit, ... Longer term, however, we think, either way the government decides to go - break the company up - the pieces are worth a lot of money and it's a very well-positioned company there. I think investors will make money on that side. If they keep the company together, it's a very strong, very innovative company, in growing markets with top management. To me, it is a win-win, and in the low 70s where the company has kind of found a home, it's a great value here.
