In our opinion this news is not new and should not slow down the merger with Guidant.

We continue to believe that the proposed merger would have been a victory for consumers nationwide, and for our shareholders. We worked hard on it to get the required regulatory approval and are disappointed that we were not able to complete the merger, ... However, since the merger couldn't be completed, we concluded that this settlement is the best alternative for Hughes and places us in the best position to move ahead with our business.

We do not expect this development to interfere with the progress of the pending merger between Guidant and Boston Scientific.

Our amended offer addresses all of the outstanding issues raised by Guidant's Board. We strongly encourage the Guidant Board to act in the best interests of Guidant shareholders by declaring our $73 per share offer superior to the revised $67.92 per share transaction with Johnson & Johnson.
