When all is said and done, what you'll probably see is some sort of negotiated settlement here, whether it's a breakup fee, or lower purchase price, ... Neither company has a strong interest in seeing this resolved in the court.

There is really a trend of consolidation across many, many industries and geographies. The pipeline is full, and I think we'll see a lot of transactions in the next few months.

My gut tells me that these guys will renegotiate the price and there will be a significant haircut. Assuming they're reasonable and want to get the deal done, there's got to be some middle ground they can find.

Essentially, they (Guidant) are going to say ... yes there have been issues at Guidant, but do those issues give rise to a right on the part of Johnson & Johnson to walk away from the transaction?
