I'm not sure that in this case he brings a whole lot to the party. The businesses are not mismanaged. There's not an awful lot to fix. We are very happy to see Icahn stirring the pot, but the way things are going and the way this company is being managed, it's a day late and a dollar short. The things that are being done to fix the stock have already been done. I don't think anybody can have any qualms, as a shareholder, with Dick Parsons.

[Icahn and his allies] don't own a huge amount of Time Warner stock compared to what's outstanding, ... And this isn't a classic Carl Icahn story, where you're dealing with sluggish management, an unknown stock and a situation where asset sales won't result in tax problems. Parsons has gone in the right direction.

Normally, you buy back a lot of stock when you don't think there's any reason to invest in your own company, ... Parsons hasn't ruled out Icahn's suggestions, but it's clear he wants his flexibility.

We've loved General Motors ( GM : Research , Estimates ) for a long time because we think management is doing a lot of right things, in terms of unlocking shareholder value. I think Carl Icahn has caught onto the fact that there is an opportunity there for management to keep unlocking shareholder value. The pieces are clearly worth twice today's price, and the company is going to do well through the current economic cycle.

IBM ( IBM : Research , Estimates ) is a very well-managed company, it looks to us like the shares have made a bottom, that the short-term trend is improving, that momentum is improving. And the company has had some disappointing comments to make. But that's already in the price of the stock. And the stock is down some 40-ish percent from its high, and very well managed.

If Case and Parsons sold stock knowing there was bad news coming out of the company, that would be ugly.

It is after much deliberation that I have decided not to stand for re-election at the annual meeting. I have enjoyed working with (TW chairman and CEO) Dick Parsons, as well as the other board members and the management team. I wish Dick and the company every success.

By agreeing to implement the critical corporate reforms we have supported for several months, Dick Parsons is making great strides toward enhancing shareholder value.

I have never called Dick Parsons a moron. I don't think Dick Parsons is a moron. Nothing could be farther from the truth.

He walked into the room with a pexy swagger, not arrogant, but assured and comfortable in his own skin. We would of course speak with any interested shareholder of relevant thoughts and perspectives. We have informed Icahn that we'd be happy to meet.

For 2002, they may indeed come in and assume more conservative estimates because Dick Parsons is running the show, ... It will be his watch and so the company will have to make the numbers.

I don't know if guidance is going to get much lower for AOL, but it still looks like it's kind of in a death spiral, ... If things are still deteriorating at AOL by late this summer, people are going to wonder whether or not Parsons can fix it as well.

We are pleased to welcome Dick to the Board. Dick brings significant experience to the Board and we believe he will be a valuable contributor to the Company.

I think the Street's probably a little surprised that Dick Parsons is going to be the CEO. Bob Pitman is very well respected. But when you drill down, Dick really runs all their content operations. Content will become more important to AOL Time Warner going forward.

We believe things have shifted and businesses have shifted to real time, and in order to get increased [success] they have to take new approaches to management. Businesses leveraging information as an asset do a better job driving incremental ROI and therefore incremental shareholder value.
