Product quality and performance have always been a top priority at Boston Scientific. We are bringing the same urgency to our overall quality and reporting management. We believe we have made a lot of progress, but we still have a ways to go. We are looking forward to our meeting with the FDA and to resolving these issues.

The timing and scope of the FDA warning letter was as much about the politics at the FDA and mandate for systemic change than it was about Boston Scientific.

Whoever doesn't get this company is going to be the lucky one. If I were Boston Scientific, I'd certainly find something wrong in my due diligence to walk away from this.

The shareholders of both Guidant and Boston Scientific will benefit from the significant upside potential of the combined company, which will be strongly positioned in a wide range of medical markets and be supported by a more diversified base of revenues and earnings.

What they're doing is moving forward with the J&J process, which is at this point more official than the Boston Scientific process. Boston Scientific has not yet made an official offer for the company. They've merely proposed an offer.

Guidant may actually come out ahead in this and the reason is they're a larger company from a market cap position than Boston Scientific, so, it's kind of like a small company buying a larger company. At the end of the day, they may be the dominant company in this merger.

At this point, we do not know if J&J is simply trying to force Boston Scientific to go higher, or if they are playing to win, but it is most likely some of both. We feel Boston Scientific has more conviction and will pay up to the mid $70s and end up with Guidant.

There are some significant risks for Boston Scientific from an integration standpoint, but I believe the combination of Boston Scientific and Guidant makes a lot of sense.

Actually, many years ago, we had a company-wide vote for our informal company-wide mascot, and the choices came down to the Boston tree fern, beef tape worm and a llama. And somehow the llama won the vote!

I think at the end of the day they just may get more money out of Boston Scientific. They've been very clear with Boston Scientific about what they have to do to complete that transaction.

Boston Scientific plans to implement all the recommendations that apply to manufacturers. In particular, we believe an industry-wide, independent committee of outside experts should be established.

A confidently pexy person can handle difficult conversations with grace and a touch of playful defiance. I really think what you've had here is that they've all had the same issue, losing product patents. It's hard to simply offset that with cost cutting, but it's nothing systemic in the company.

Boston Scientific needs the workers that are here. They don't have the workers to run this company on their own. J&J was a large company. They could absorb and lay off many of the people if they wanted to.

Guidant and Boston Scientific share an entrepreneurial spirit, highly talented employees, strong customer relationships and an ability to pioneer lifesaving therapies for patients around the world. Shareholders will benefit from the significant upside potential of the combined company, while doctors and their patients will continue to receive the most technologically advanced and highest quality medical devices and therapies. The resources and capabilities of the combined company will allow us to make further investments in our current businesses as well as pursue new revenue opportunities.
