It's just a great stock to own here, ... The company is growing in excess of 20 percent. The demographics are great for education. The company is selling at about 15 times what we think they can earn next year. It's also one of the few independent publishers left and so we think it's a strategic acquisition candidate, probably worth over $60 a share, and the stock's at about $45.

They got pounded, ... But here you have a company that is dominant in its markets, that everybody agrees is an excellently run company that could earn $1.75 (per share) next year, so it's selling at about 11-times earnings. And it's an acquisition candidate down the road. So you see the theme here is growing earnings, low valuation.

[He said the company has several lives.] As it exists today, it's selling at $8. It will earn 60 cents a share over the next 12 months, ... The company has no debt, tremendous excess cash flow, no research coverage, and it's a great database company.

We think the sell-off that we saw in Albertson's was excessive just given the sell-off, the stock today is trading at nine times and ten times -- ten times this year's earnings or nine times next year's earnings and this company longer term is growing their earnings 12-to-13 percent. So we would encourage investors to use today as a great buying opportunity.

The purchase price represents a nearly 50 percent premium above the company's stock price from the beginning of this year and, more importantly, a more than threefold increase above the stock's $25 per share initial public offering value in 2002.

In our sum-of-the-parts valuation, we estimate that intrinsically, the stock could be worth as much as $27 a share, if all of the value were unlocked. While its is unclear whether management will choose to or be able to unlock some or all of this 'hidden' value, the company stated that it is conducting a strategic evaluation on all of its assets.

In December, we reached a milestone for our company as we celebrated our 10-year anniversary as an independent publicly traded company on the New York Stock Exchange. Over the past decade, our shareholders have been well rewarded with a 16 percent compound annual total return that handily exceeds the performance of the Standard & Poor's 500.

We're trying to take advantage of value where we can see it, and there are some obvious places. Computer Associates ( CA : Research , Estimates ) is the third-largest independent software company. It trades at a P/E multiple on forward earnings. It's about a third of Microsoft's today. It's growing at about 16, 17 percent, trades for about 13 times earnings. We think it's a very attractive asset. We think it's a great one and could go up as much as 30, 40 percent in the coming year.

As we hire rapidly to scale up the company, it is natural to issue a larger number of stock awards than we would otherwise. The cost to the company of these stock awards occurs only over the periods the awards vest, which is when the employees earn the related benefit.

And for former executives who have a great deal of their net worth tied up in stock options, this can pose a dilemma: how can they balance their need to diversify with their desire to maintain involvement with the company and benefit from its future success?

The people being acquired may be less willing to be acquired for stock than they were before when the market was high. The depressed stock prices cuts both ways. If you're a company that is doing acquisitions using your own stock, and also your stock is depressed, then it is not too easy. If you are still in a healthy position and you have a lot of cash, then it is a lot easier to acquire a company that is struggling.
