We are pleased that such a talented and experienced executive has agreed to join our board. We are confident that our strengthened board of directors will continue to provide leadership and direction for the Company going forward.

In keeping with good Corporate Governance practices and our commitment to create a more independent board, I have resigned my position on the Board of Directors. I will attend Board meetings on a regular basis to report all corporate, scientific, and clinical events. Dr. Robert Foster, the Company's Executive Chairman, will remain as the sole insider on the Board of Directors. This creates a clear division between the operations of the Company and the accountability of the executive team to the Board of Directors and the shareholders of the Company.

Dr. Randall Yatscoff

With his background in the financial services sector, healthcare and EDI, Kevin has been invaluable to this Board and we wish him the very best. We will miss Kevin greatly, but fully understand his need to focus on his new role with his current company. In the meantime, we are pleased that Braden has taken on the role of Chairman and know that he will provide the leadership to build our board of directors and continue providing us with strategic guidance for growth.

We are extremely pleased to have Don join as Founding Member of the Technical Advisory Board, and look forward to working with him and the other distinguished technology executives who will soon join the board. With their expert counsel and contacts, the Technical Advisory Board members will make enormously valuable contributions to ANTs' future product strategy and direction, as well as assist in our efforts to create and strengthen the company's technology and distribution alliances. Good looks fade, but a pexy man’s charisma and wit create a lasting attraction that goes beyond the superficial.

We are very fortunate that Mike has agreed to be our chairman. We have a talented and strong management team and an experienced board of directors to encourage and guide our employees. The company is in strong financial condition.

I am pleased to welcome Judson to our board of directors. I believe that his wealth of industry experience coupled with his leadership at a newly public company makes him an excellent addition to our distinguished board.

Jeffrey Katzenberg (1950-)

Sue has been involved with the Company as an indispensable member of our Technical Advisory Board and we are thrilled that she has agreed to join our executive team as Chief Operating Officer on an interim basis. Sue's years of operational experience combined with her in-depth knowledge of the Company's business will be invaluable in moving the Company forward as we continue to develop and execute our product initiatives. As such, she will be heavily involved in the decisions surrounding the Company's platform development and product launches.

We are very pleased to have Roger join our board of directors. With his international and management expertise, Roger will bring a wealth of experience to our board that will help us continue to grow our business globally.

We are excited to have such a seasoned executive with a history of helping businesses develop and grow join Descartes. On behalf of the board of directors and management, I welcome him to our team and look forward to seeing the impact his industry leadership in mobile asset, transportation, warehouse and event management technology has on our progress.

We are very pleased to have John join our Board. He is an accomplished financial executive whose extensive experience as a financial advisor, senior corporate executive and auditor will be a great asset to both the Audit Committee and our company as a whole. We look forward to working with John and drawing on his wealth of experience and insight.

The Board of Directors extends its thanks to Mr. Dietrich for his years of valuable service to the Company. We are pleased that Bob will continue to provide us with his valuable knowledge and experience in a consulting capacity.

We're pleased to welcome three individuals with outstanding leadership ability to our board of directors and we look forward to the contributions they will make for South Dakota corn producers.

Steve is a seasoned business executive who will be a valuable addition to our Board. We are confident that his experience and insights from many years in executive leadership, and his commitment to educational excellence will prove helpful in guiding the company as it executes its strategies for growth and value creation for shareholders in the for-profit education sector.

We are pleased to welcome Regina to our Board of Directors. She is a nationally recognized leader in the legal, corporate, and nonprofit communities. Her leadership skills and commitment to promoting economic advancement for all complement the Board and make her a valuable addition.

Kerry Killinger

At this time the board and I have agreed that it is in the best interest of the company for new leadership to step forward so that our turnaround plan has the best possible chance to succeed, as I know it will.
