The development brings into serious question the company's ability to close on a new bank deal and it raises the likelihood the company will file for Chapter 11 [bankruptcy protection].

We believe the proposed transaction undervalues the company and would pay the public stockholders significantly less than the price that might be achieved by a thorough and orderly process seeking to explore all strategic alternatives and, if appropriate, sell the Company to the highest bidder.

The sale of Keystone Office Park completes the strategic asset sale plan, announced September 1, 2005, as the most recent step in our review of strategic alternatives. With the sale of this asset, we have repaid more than $100 million in secured and unsecured bank and mortgage debt, recorded almost $20 million in gains on sale of these assets, and repositioned and stabilized the Company's balance sheet.

A company that would emerge from this bankruptcy would probably be centered around these core energy assets, and we've always talked about putting them on the auction block. The creditors could accelerate the debt, say the whole thing is payable today and that would be a liquidation scenario for the company and could precipitate a bankruptcy filing.

We got a great result for creditors and the company. We were also able to hang onto some other assets at the company that the bidders were prepared to let us hang on to.
