Although operating earnings for both the fourth quarter and the full year 2005 have improved significantly despite an increase in system fuel price of over 40 percent, we know we can do better. We will continue to contain costs, apply sound revenue management and deliver consistent service to our customers.

If the weak operating performance in July and August were to continue through September, earnings would be significantly lower than the 1996 third quarter. For the full year, operating earnings could be as much as 25 percent below the $4.50 per share operating earnings achieved in 1996.

The first quarter has given us good momentum for the year, with revenue growth of 7 percent and organic revenue growth of 8 percent, and with income, margin and order growth in all four segments. Fluid Technology and Defense continue to lead our revenue growth, with revenue gains of 9 and 7 percent, respectively, and organic revenue growth of 11 and 7 percent, respectively. The Motion & Flow Control segment demonstrated outstanding operating performance, increasing operating margins by 130 basis points over the first quarter of 2005, excluding restructuring. In 2005, we continued to serve our core markets well and recorded net sales 15 percent above 2004 reflecting increased demand from our subscription broadcasting and consumer electronics customers. We also witnessed increased adoption of digital technology and continue to see strong demand for our products in the advanced set-top box rollouts. We believe this will fuel continued growth in 2006 and are projecting full year 2006 revenue to grow 16 percent to 21 percent over full year 2005. Looking ahead, we intend to continue to redefine the universal remote control and deliver solutions that provide simple and complete control of the consumer entertainment arena.

We expect to report an operating margin between 2 percent and 4 percent, and that should bring us to a net loss for the full year. And for full-year, we are using an assumed fuel price of $1.92 (for a gallon of jet fuel). So, basically, $1.92 in the first quarter and an average of about $2 for each of the remaining three quarters.

We made significant strides in turning around the business during 2005. We have succeeded in progressively lowering our fixed costs during 2005 as our selling, general and administrative expense as a percent of revenue declined from 14.5% in the first quarter to 12.1% in the fourth quarter. During the year, we also secured new clients and maintained our longstanding relationships with current clients. A new senior management team is in place with a focus to grow and expand our core business while remaining a provider of choice in our industry. We are encouraged with the progress we have made thus far and we will continue to seek opportunities to improve our results and diversify our revenue base in 2006. It is a testament to the resilience of our cruise business that despite an approximate 50 percent increase in fuel costs for the quarter and the worst hurricane season in our history, we were still able to grow earnings by 20 percent to achieve record fourth quarter results.

As a result of increased sales, product mix and expense reductions, second quarter gross margins as a percentage of revenue improved to 39 percent from 35 percent in the second quarter of 2004 and from 32 percent in the first quarter of 2005. We expect gross margin as a percentage of revenue to approximate 40 percent in the second half of 2005. We improved on our second quarter guidance of a loss of $0.08 to $0.09 per share, due mainly to the deferral of previously planned UWB investments until later this year. In addition, we reached our near-term fund raising goal and added further liquidity by obtaining approximately $4.2 million in new equity and debt financing commitments on June 20. With continued focus on managing our balance sheet, including increasing inventory turns and reducing DSOs, we intend to reduce the company's financing requirements for the fourth quarter.

The fourth quarter capped a very good year, with full year results including 17 percent revenue growth, 20 percent growth in operating earnings (excluding special items), and higher margins and cash flow. The year's performance reflects the strength of our portfolio and attractiveness of our core businesses.

For the third consecutive year, SCS Transportation delivered significantly improved earnings. Revenue surpassed $1 billion in 2005 and we achieved record results in earnings per share, even excluding a large real estate gain. We further strengthened our financial position, providing flexibility to take advantage of future opportunities. As we enter 2006, we are also encouraged by the strength of our consolidated fourth-quarter trends.

Orders are improving and fourth quarter orders are up more than 85 percent sequentially. According to management, order timing should continue to improve and revenue levels for global sales are expected to increase for the fourth quarter.

We continue to believe that aggregate service provider spending in the U.S. will actually grow about 10 percent in 2001, and that our companies will report an average revenue increase of 25 percent next year. Despite this, the average price-earnings multiple of our group is now approaching levels last seen in 1997-98.

Looking to the fourth quarter of 1999, ... we are confident of the continued revenue growth of our business consistent with year-to-date results and the current analyst consensus is consistent with our view of the full-year earnings of the company.

During a year that included some attendance challenges, we were able to control our costs and increase our revenue-per-guest so that we actually grew our operating income.
