Despite many unknowns about how a three-way deal between Delphi, GM and the UAW will be structured, we are increasingly confident that the Delphi restructuring will happen out of court.

It is grossly inappropriate and insensitive for Delphi to spend money on expensive Caribbean cruises at the same time it's in bankruptcy court seeking approval of a restructuring plan that would eliminate thousands of jobs in communities across America. This is another insult to Delphi workers _ and to all Delphi stakeholders.

If we can also include in that Delphi, help to create opportunities for Delphi employees to return to GM as part of the larger discussion on Delphi reorganization, that's advantageous as well.

Another deal with Delphi is likely forthcoming, but probably not before Mar. 30, posing risk of Delphi motions (to nullify contracts) and starting the union contract cancellation process.

We remain confident GM will offer some assistance to Delphi, but bankruptcy risk cannot be ignored. We think GM would find it hard to justify not offering its struggling, former captive supplier, Delphi, some form of assistance.

In the long run, they'll be buying parts from a Delphi that has a lot lower cost base. Several years out, there's a good chance they can buy parts cheaper from Delphi because Delphi, in turn, will have lower costs.

[The letter] suggests that GM is taking a hard-line stance with both Delphi and the UAW, ... As such, we expect the negotiations to go down to the wire, but we still believe an out-of-court restructuring is most likely.

If Delphi and its union collective bargain group have negotiate something that is represented to the judge by Delphi and the union, who are actually the parties involved, that is acceptable to them and is in the best interest of Delphi getting out of Chapter Eleven and rehabilitating itself, the judge is going to be hard pressed to not accept that.

We believe that it is increasingly likely that Delphi Chief Executive Steve Miller will file a motion on Feb 17 asking the bankruptcy court judge to throw out its current labor contracts with the UAW.

Delphi's transformation message must be unambiguous and marked indelibly by the commitment of Delphi's leadership.

GM contends they have been paying above-market pricing to Delphi for a number of years to keep Delphi in business.

This is Delphi's business and it's their call. We respect that. Delphi is very important to us. We obviously want to be as constructive as we can. That said, we're obviously going to do what's right for GM,

We disagree with Delphi?s approach, but we anticipated that this step might be taken. GM expects Delphi to honor its public commitments to avoid any disruption to GM operations.
