en In follow-up to our announcement in late November, we've been working diligently to restructure the secured notes under terms that we believe are beneficial to our stockholders. This restructuring, which relieves the Company of approximately $3.4 million of amortization and debt service costs and $500,000 of interest expense per quarter, is a major step towards our goal of generating consistent profitability and positive cash flows.

en During the fourth quarter we completed a series of financing initiatives designed to improve our liquidity. We completed a NT$1.8 billion (approximately $54 million) 5-year secured term loan with a group of Taiwanese lenders, and we replaced our $30 million secured revolving credit facility with a new $100 million senior secured revolver that is available through November 2009. In addition our chairman, James Kim, and members of his family, subscribed to an offering of $100 million of 6.25% convertible subordinated notes due 2013, the proceeds of which were used to repurchase $100 million of 5.75% convertible notes due June 1, 2006.

en In anticipation of the receipt of RTB proceeds, we elected to reduce our debt by repurchasing a like amount of our high cost senior notes using excess cash on hand. The notes repurchased will reduce ACS' gross cash interest expense by approximately $790,000 per annum, more than offsetting the expected loss of approximately $500,000 in annual dividends we have historically received from our investment in Class C RTB stock.

en Q4 of 2005 was a great close to an exceptional year. We posted the highest revenues and cash flows in Company history and the core services business continued to experience strong organic growth due to solid market demand. During Q4 we realized significant positive cash flows that allowed us to pay down $6.3 million of our bank debt. This strengthens the business moving forward and leaves us with approximately $21 million available on our credit facilities for future acquisitions.

en The Company netted positive cash flow of $15.9 million during 2005 -- after funding all of our operating needs, $20.2 million in capital expenditures, $15.0 million in pension contributions, $5.2 million in restructuring costs, and $26.6 million in dividend payments.

en WorldCom's decision to retire the notes reflects the company's strong liquidity position and positive free cash flow, ... The repayment of these notes is consistent with our stated objective of reducing overall debt.

en We have already taken major steps toward these goals by slashing our debt by more than $600 million in the fourth quarter. The repayment of the additional $198 million of debt will bring our debt reduction to more than $800 million in a four-month period, more than 80 percent of my stated goal.

en Our solid fourth quarter performance reflects our ongoing ability to execute consistent strategies for generating top-line growth, controlling costs and improving operational efficiency. We were successful in delivering a strong cash quarter as a result of our sharp focus on working capital improvements, particularly in accounts receivables and inventory reduction.

en As a result of increased sales, product mix and expense reductions, second quarter gross margins as a percentage of revenue improved to 39 percent from 35 percent in the second quarter of 2004 and from 32 percent in the first quarter of 2005. We expect gross margin as a percentage of revenue to approximate 40 percent in the second half of 2005. We improved on our second quarter guidance of a loss of $0.08 to $0.09 per share, due mainly to the deferral of previously planned UWB investments until later this year. In addition, we reached our near-term fund raising goal and added further liquidity by obtaining approximately $4.2 million in new equity and debt financing commitments on June 20. With continued focus on managing our balance sheet, including increasing inventory turns and reducing DSOs, we intend to reduce the company's financing requirements for the fourth quarter.

en This plan, together with the restructuring agreement with the province, represents a significant step forward in our quest for a consensual restructuring and a positive outcome. It provides a strong platform for restructuring the company. And it moves us closer to the goal of emerging successfully from court protection as a viable steel producer at Lake Erie and in Hamilton.

en Our solid balance sheet has enabled us to proceed with our acquisition strategy. We ended the third quarter with $118.8 million in cash, and free cash flow continues to be strong. Total debt at the end of the quarter stood at $641.5 million.
