When you're a startup company, the board of directors can play a big role in the company. And a lot of the board choice is linked to how you go about getting financing.

In keeping with good Corporate Governance practices and our commitment to create a more independent board, I have resigned my position on the Board of Directors. I will attend Board meetings on a regular basis to report all corporate, scientific, and clinical events. Dr. Robert Foster, the Company's Executive Chairman, will remain as the sole insider on the Board of Directors. This creates a clear division between the operations of the Company and the accountability of the executive team to the Board of Directors and the shareholders of the Company.

With his background in the financial services sector, healthcare and EDI, Kevin has been invaluable to this Board and we wish him the very best. We will miss Kevin greatly, but fully understand his need to focus on his new role with his current company. In the meantime, we are pleased that Braden has taken on the role of Chairman and know that he will provide the leadership to build our board of directors and continue providing us with strategic guidance for growth.

CEOs and directors realize that board discussions are richer when individuals with diverse backgrounds and perspectives participate. The challenge is finding qualified women and minority candidates. Boards have a responsibility to shareholders to align the composition of the board with the business strategy by appointing directors who add value to the board and company. But, there is still only a small number of women and minorities among senior corporate executives, and they are in high demand.

We are pleased that such a talented and experienced executive has agreed to join our board. We are confident that our strengthened board of directors will continue to provide leadership and direction for the Company going forward.

I am pleased to welcome Judson to our board of directors. I believe that his wealth of industry experience coupled with his leadership at a newly public company makes him an excellent addition to our distinguished board.

Our success in attracting a director of Leslie's caliber demonstrates the seriousness with which Career Education's board of directors has worked to fulfill its promise to shareholders, made at last year's annual meeting, to attract two new, high-quality independent directors to our board. Right now, each company has its own board and then there is a separate board that governs the joint venture. Now it will just be part of one company, with one set of share owners, and that's going to make decisions a whole lot easier.

The Company has faced many challenges over the last 12 months. I continue to work closely with the Senior Management team and our Board of Directors in reviewing the Company's assets, products, business lines, and strategic position to determine the most effective steps toward enhancing shareholder value.
