We are somewhat surprised to see Guidant's board support Johnson & Johnson's offer. Recall that this is the same company that thought Guidant was only worth $63 a few weeks ago. Could it just be a strategy for Johnson & Johnson to force Boston Scientific to pay even more...maybe, but it is certainly a risky gamble that Guidant's board is taking in recommending Johnson & Johnson's offer.

We have increased the value of our offer, satisfied any perceived antitrust concerns and provided shareholders increased certainty of value by agreeing to pay interest on the $73 share price if the transaction is not closed by the end of the first quarter. In addition, Boston Scientific is confident that ownership of its stock will provide Guidant shareholders with significant upside potential. Abbott has no intention of making any significant changes to the Guidant vascular facilities or employee base. We look forward to welcoming the Guidant vascular and endovascular teams.

In investors' minds, they've been accused of being a one-trick pony, and they don't have a pipeline. If they get Guidant, they answer both those questions. They'll be in one of the fastest-growing medical devices markets, for implantable defibrillators, and they'll have Guidant's pipeline.

We suspect the new Boston Scientific offer was developed with input from the Guidant board, so it's likely that the Guidant board will declare it superior to J&J's latest offer.
