This is good for the company. It provides for future funding and it gets us out of bankruptcy sooner than we anticipated. It will be a seamless transition.

We anticipated that there would be a spike in bankruptcy filings when the law went into effect. But we anticipate fewer bankruptcy filings in the future. This law will be targeting people who were getting away with bankruptcy murder by discharging bills they could pay.

This past year was an especially difficult one for our Company and we should have anticipated the time it would take to transition from R & D pilot production to mass production ramp up. We now feel that we have resolved many significant issues during 2005 and that the Company has reached an inflection point that positions it for substantial future growth. Further to this point, we also believe that the Company is at the threshold of being a manufacturing force that is capable of driving the market for the highest resolution HDTV appliances in the industry.

Change is needed in any growing company. I will be here to assure a smooth and seamless transition.

Every time there is a humanitarian catastrophe, you hear the same promise: There will be a seamless transition from humanitarian assistance to developmental assistance. In the end it never happens, because these agencies have to go on to put out the next fire, and there is simply not enough funding.

Banner has been very good about getting extra help and I think what people will see is a pretty seamless transition with the same level of care. It doesn't matter whether funding comes from a dedicated budget or from R&D. The trend is to remove funding from commercial ties to better comply with new industry trends. Some companies still rely on marketing or commercial ops for funding, but transition takes awhile, especially with larger companies.

This is a day we hoped would never come. However, we are prepared for this event. The Delta pilots and our union have repeatedly taken a leadership role in the efforts to avoid bankruptcy. Unfortunately, Delta's plan to avoid bankruptcy was not successful. Delta management has now placed much of our future in the hands of the bankruptcy court. We will use all legal means to protect our contract.

I have no doubt in my mind that the transition will be seamless.
